We provide advice to local and foreign clients in defining and structuring various different organizational models applicable to their businesses and investments. In this sense, our involvement includes services such as the creation, modification, transformation, merger and spin-off of companies, as well as other modalities provided in our corporate legislation.
Albagli Zaliasnik’s Corporate Practice Group attorneys offer guidance in the negotiation, preparation and drafting of partnership contracts and agreements, associations, joint ventures, consortia and other types of association. We maintain an active role in the negotiation and drafting of shareholders’ agreements that regulate the interests of our clients in their businesses and investments.
Our Firm is also renowned for its ongoing review of legal and regulatory compliance at corporate, management, director and shareholder levels, as well as the industry in which the company conducts its business or activity. We also conduct periodic reviews on the corporate structure in order to propose improvements or potential business reorganizations to optimize returns and take maximum advantage of the benefits and incentives made available in the system.
Aware that a significant number of our clients operate in several markets and jurisdictions, we have specialized in providing them with support in their global endeavors, either through our own offices or our international network. We thus make sure that all their requirements are met, something of critical importance for companies aspiring to go international successfully.
We also provide corporate book- and record-keeping and custody services as applicable to the various different corporate structures, whether for regulated or unregulated companies and regardless whether they are listed on the stock exchanges or do business privately.
We participate in the registration of companies with the Securities and Insurance Commission (SVS), provide advice for our clients in IPOs and stock and bond issues, securitization processes and other forms of finance.
We provide corporate management teams, their directors and shareholders with ongoing legal information in relation to the corporate and legal structure of their companies, as well as with regard to the most important changes introduced into laws and regulations that affect their businesses. This allows companies to plan ahead and react on time to those changes, thereby being able to compete more efficiently. In this sense, we have devised communicational tools such as AZ News and Legislative Alerts, which transmit this type of information.
